1. INTRODUCTION

Welcome to We Are Happy Place Ltd (“Marketplace,” “we,” “us,” or “our”). When you purchase a product via our platform, you are entering into a direct transaction with the Brand, and the Brand remains fully responsible for order fulfillment, product quality, and customer service.

2. ORDERS & PAYMENTS

2.1 Transaction Processing
Happy Place Marketplace facilitates transactions by processing payments on behalf of the Brands. However, all products are supplied, shipped, and managed by the respective Brand.

2.2 Pricing & Fees
Product prices, descriptions, and any applicable taxes are set by the Brand and are subject to change at the Brand’s discretion. Happy Place Marketplace is not responsible for any pricing discrepancies, misstatements, or inaccuracies related to the products offered.

2.3 Billing Information
You agree to provide accurate and complete billing information when making a purchase. Happy Place Marketplace is not responsible for transaction failures due to incorrect payment details.

2.4 Order Confirmation & Acceptance
All purchases are subject to acceptance by the Brand. Happy Place Marketplace does not guarantee product availability, and an order confirmation does not constitute acceptance of a purchase. If a Brand cancels an order, you must resolve the issue directly with the Brand.

3. REFUNDS, EXCHANGES & RETURNS

3.1 Brand-Specific Policies
Each Brand sets its own refund, exchange, and return policies. You must review the individual Brand’s policy before making a purchase.

3.2 Marketplace Disclaimer
Happy Place Marketplace is not responsible for approving refunds, handling returns, or resolving disputes related to products. Any requests regarding refunds, exchanges, or returns must be directed to the Brand. We do not assume liability for any Brand’s failure to honor its stated policies.

4. PRODUCT INFORMATION & DISCLAIMERS

4.1 Brand Responsibility
All product descriptions, images, claims, warranties, and specifications are provided by the Brands. Happy Place Marketplace does not create, verify, or endorse product claims, including but not limited to quality, effectiveness, or intended use.

4.2 No Warranty or Guarantee
Happy Place Marketplace makes no representations or warranties regarding the accuracy, reliability, or legality of product descriptions, ingredients, or features. If you have any concerns about a product, you must contact the Brand directly.

4.3 Compliance & Safety
It is your responsibility to ensure that any product purchased is suitable for your needs and complies with applicable laws and regulations in your jurisdiction. Happy Place Marketplace is not liable for any adverse effects, damages, or injuries resulting from product use.

5. LIMITATION OF LIABILITY

5.1 No Liability for Brand Actions
Happy Place Marketplace acts as an intermediary and is not responsible for the conduct, actions, or omissions of any Brand. Any claims related to defective, unsafe, or misleading products must be addressed directly with the Brand.

5.2 Exclusion of Damages
To the fullest extent permitted by law, Happy Place Marketplace shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of the Marketplace, including but not limited to:

  • Loss of revenue, profits, or data
  • Product defects or malfunctions
  • Shipping delays or order cancellations
  • Misrepresentation of a product’s features or effectiveness

5.3 Indemnification
By using the Marketplace, you agree to indemnify, defend, and hold harmless Happy Place Marketplace, its affiliates, employees, and representatives from any claims, liabilities, damages, or expenses arising from:

  • Any disputes with a Brand

Any disputes arising under these Terms shall first be attempted to be resolved through negotiation with the involved Brand. If unresolved, disputes may be brought before the courts of England and Wales.
